Terms of Service
These Terms of Service (“Terms”) form a binding agreement between you and HomeHODL LLC, operating under the brand name Sovana, ("Sovana," “HomeHODL,” “we,” “us,” “our”) , a Delaware limited‑liability company.

By accessing or using any HomeHODL website, mobile app, or service (collectively, the “Service”), you confirm that you:
- are at least 18 years old;
- are a legal owner of the real property you submit;
- are located in, and your property is located in, a U.S. state in which HomeHODL currently offers its product (which we may expand or restrict at our sole discretion).
If you do not meet all of these requirements, or if you do not agree to these Terms, do not use the Service.
HomeHODL allows qualifying real estate owners to enter a Bitcoin Investment Partnership (“BIP”) documented by separate legal agreements (e.g., a LOI and Joint Venture Agreement). Those agreements—not these Terms—govern the economic terms of any BIP. These Terms cover your use of the website and related services.
You must provide true, current, and complete information. You are responsible for all activity that occurs under your credentials. Notify us immediately of unauthorized use.
Application‑phase costs. We may pass through third‑party costs (for example, appraisal or title fees) at cost and without markup. Such amounts are non‑refundable once incurred.
Origination fee. If your BIP successfully closes, we charge a 2 % origination fee (calculated on the Initial Investment Amount) at or immediately after closing.
Payment processing. All online payments are handled by a third‑party payment processor. You authorize that processor to charge your payment method and agree to its terms and privacy notice. We never store full card numbers on our servers.
HomeHODL does not provide investment, tax, or legal advice. Bitcoin is highly volatile; its value may increase or decrease dramatically. You understand and accept that (i) HomeHODL makes no predictions or guarantees about future Bitcoin performance, and (ii) under your BIP agreements you may owe HomeHODL money if Bitcoin’s value falls.
You may not:
- break the law, infringe anyone’s rights, or submit false information;
- use the Service to market or facilitate any illegal activity;
- attempt to probe, scan, or test our systems or breach security;
- copy, reverse‑engineer, or create derivative works from any part of the Service;
- use automated means (scrapers, bots) without our prior written consent.
All site/app content, software, and trademarks are owned by HomeHODL or its licensors and are protected by law. We grant you a limited, revocable, non‑exclusive license to access and use the Service for its intended purpose.
If you send us suggestions or feedback, you grant HomeHODL a perpetual, royalty‑free right to use them in any way without compensation to you.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” HOMEHODL DISCLAIMS ALL WARRANTIES—express, implied, or statutory—including but not limited to warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee the Service will be uninterrupted, error‑free, or secure.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Cap on direct damages. HomeHODL’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) total fees you paid to HomeHODL in the 12 months before the claim arose or (b) $100.
- No indirect damages. HomeHODL will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits or lost data.
Informal resolution first. Contact us at sanjay@homehodl.com and give us at least 30 days to resolve any dispute informally.
Binding arbitration. If we cannot resolve a dispute informally, either of us may elect to have the dispute finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect.
- Filing & location. Filings may be made online; unless the arbitrator requires otherwise, hearings will be conducted remotely. If an in‑person hearing is needed, it will occur in Miami‑Dade County, Florida.
- Small‑claims carve‑out. Either party may pursue an individual claim in small‑claims court instead of arbitration.
- 30‑day opt‑out. You may opt out of arbitration by emailing sanjay@homehodl.com with subject line “Arbitration Opt‑Out” and your full name and address within 30 days of first accepting these Terms.
Governing law & venue. These Terms and any dispute (whether in arbitration or court) are governed by Delaware law without regard to conflict‑of‑laws principles. If a dispute proceeds in court (e.g., small‑claims or to compel arbitration), the exclusive venue will be a state or federal court sitting in Wilmington, Delaware.
Our Privacy Policy explains how we collect, use, and share information. By using the Service, you agree to that policy.
We may update these Terms from time to time. Material changes will take effect 30 days after we post the revised Terms and notify you (e.g., via email or prominent notice on the site). Your continued use after that date constitutes acceptance.
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any lawful business reason. Sections that by their nature should survive (e.g., IP, disclaimers, limitation of liability, arbitration) will survive termination.
- Entire Agreement. These Terms (plus any additional BIP contracts you sign) are the entire agreement between you and HomeHODL regarding the Service.
- Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will remain in effect.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in a merger, sale, or reorganization.
- No waiver. Failure to enforce any provision is not a waiver of future enforcement.
